The parties accept, declare and undertake in advance that they will be problematic in accordance with the finalized court decision, jointly and severally with the person who violates the confidentiality, in case they violate the confidentiality obligation of their personnel and other persons working on behalf of them.
2. 1. Information Not Included in the Definition of Confidential Information
      1. The following information does not fall under the definition of confidential information.
         1. Information previously obtained without the obligation to keep confidential by one of the parties,
         2. Information that has become public, without the fault of one of the parties,
         3. Laws or regulations in force or a court decision, information that must be disclosed in accordance with the administrative order.

Each of the parties agrees that their Confidential Information and its rights in this information are the property of its own and that the disclosure of this information will not give any rights to the disclosure party. Again, each party accepts that the other’s Confidential Information contains valuable secrets and has no obligation to give the other party their secrets. None of the parties can give a guarantee of the completeness, accuracy, and certainty of the Confidential Information.

Measures

1. 1. 1. If one of the parties is aware of the existence of an unauthorized disclosure about the Confidential Information of the other, he immediately and in writing informs the other party about this unauthorized disclosure and does his best to reduce the damages that the other party will incur due to this. The aggrieved party may resort to all means specified in the laws, as soon as it learns about the existence of this disclosure, either by itself or upon the notification of the other party, and may demand compensation for all kinds of damages and damages incurred, provided that it belongs to the disclosure of the expenses. The disclosure party accepts and undertakes in advance to cover all damages and damages suffered by the other party for this reason.
2. 1. Return of Confidential Information
      1. All confidential information is immediately returned to the party to which this information belongs, if the relationship between the parties or the contract expires. In this regard, future labor relations between the parties constitute the subject of a separate contract to be negotiated and implemented.
3. 1. Disclosure Permit
      1. 4. OTHER PROVISIONS
   1. Cycle and duration
      1. The confidentiality obligations of the parties will remain in force for an unlimited period of time after the continuation of the business relationship between them and after the termination of this relationship for any reason.
      2. This contract or any right here cannot be transferred completely or partially.
5. 1. Applicable Law and Competent Court
      1. Istanbul / Ümraniye Courts and Enforcement Offices are authorized in the interpretation of this Agreement and in all disputes that may arise due to this Agreement, Turkish Law is applied. 6. 1. Copies
      1. This contract is drawn up as two original copies. The parties are responsible for the stamp duty regarding their copies.
7. 1. Validity
      1. If any of the articles of this Agreement are deemed invalid or canceled or not implemented, this condition does not affect the validity of other articles of the Agreement.
8. 1. Amendment
      1. This contract reflects the true intentions of the parties and replaces all written and verbal agreements previously made in this regard. No amendments that are made in writing by the parties and not signed by both parties are not valid.
9. 1. Notices
      1. The parties have accepted that all notifications to be made in accordance with the contract must be written between them, and that their addresses written above are legal notification addresses, and that the written notifications to these addresses will have all the legal consequences of the legally valid notification.
      2. The fact that this Agreement has been concluded does not impose or undertake the parties for the conclusion of any contract, including the work intended to be done.
